Please read these terms carefully before using Brega. By subscribing to or using the Service, you agree to be bound by these Terms.
1. Service Description
Brega ("the Service") is a point-of-sale software system provided as a licensed software product. The Service includes the POS application, cloud portal, automatic updates, and related support services. The Service is operated by Brega LLC ("we," "us," "our"), a New Jersey limited liability company.
2. Account Terms
- You must be at least 18 years old and legally able to enter into contracts.
- You must provide accurate and complete registration information.
- You are responsible for maintaining the security of your account credentials, license keys, and POS access PINs.
- You are responsible for all activity that occurs under your account.
- One license key is valid for one store location unless you subscribe to the Multi-Store plan.
3. Subscription & Payment
- The Service is offered on a monthly subscription basis at the rates published on our pricing page.
- Payment is processed through Stripe. By subscribing, you also agree to Stripe's Terms of Service.
- Subscriptions auto-renew monthly. You may cancel at any time through your account portal or by contacting support.
- Upon cancellation, your access continues through the end of the current billing period. After that, the system reverts to the Starter tier.
- We reserve the right to change pricing with 30 days' advance notice. Price changes do not affect your current billing cycle.
- Refunds are handled on a case-by-case basis. Contact support within 14 days of a charge to request a refund.
4. License Terms
- We grant you a non-exclusive, non-transferable, revocable license to use the Brega software for the duration of your active subscription.
- You may not sublicense, resell, redistribute, reverse-engineer, decompile, or create derivative works from the software.
- License keys are bound to specific store installations and may not be shared or reused across different businesses.
- We may revoke your license if you violate these Terms or engage in activity that harms the Service or other users.
5. Your Data
- You own all data you enter into the POS system, including product, sales, customer, and employee data.
- Your data is stored locally on your hardware. We do not have access to your store data unless you explicitly share it with us for support purposes.
- As part of the Service, anonymized and aggregated operational data (including category-level sales trends, traffic patterns, error logs, and system health metrics) is transmitted to our portal for monitoring, product improvement, and business intelligence purposes. No personally identifiable customer data is included in these transmissions. See our Privacy Policy for details.
- Upon termination, your data remains on your local hardware. We do not delete your local data.
6. Acceptable Use
You agree not to:
- Use the Service for any illegal purpose or in violation of any applicable laws or regulations.
- Attempt to bypass license validation, tier restrictions, or other security measures.
- Share license keys, access credentials, or administrative PINs with unauthorized parties.
- Use the Service to process transactions for illegal goods or services.
- Interfere with or disrupt the Service, portal, or update infrastructure.
7. Third-Party Services
The Service integrates with third-party services including but not limited to Stripe (payment processing), Forage (EBT/SNAP), QuickBooks, Xero, and Telegram. Your use of these integrations is subject to the respective third-party terms. We are not responsible for the availability, accuracy, or performance of third-party services.
8. Hardware
Brega is a software-only product. You are responsible for procuring, maintaining, and supporting your own hardware (computers, printers, scanners, displays). We may provide hardware recommendations but do not guarantee compatibility with all devices. We are not liable for hardware failures or incompatibilities.
9. Availability & Updates
- The POS software runs locally on your hardware and does not require an internet connection for core operations (register, sales, inventory).
- Internet is required for: license activation, payment processing (card/EBT), cloud features (accounting sync, AI assistant), and automatic updates.
- We provide automatic software updates. Critical security updates may be applied automatically. Feature updates can be deferred.
- We do not guarantee uninterrupted service for cloud-dependent features.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BREGA LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, OR NON-INFRINGEMENT.
11. Indemnification
You agree to indemnify and hold harmless Brega LLC, its officers, and affiliates from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any law or regulation.
12. Termination
- You may cancel your subscription at any time. Service continues through the current billing period.
- We may suspend or terminate your account if you violate these Terms, with notice when feasible.
- Upon termination, your license key is deactivated and your account reverts to the Starter tier. Your local data is unaffected.
13. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes via email or through the POS system at least 30 days before they take effect. Continued use after the effective date constitutes acceptance of the updated Terms.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of New Jersey, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in New Jersey.
